Terms of Service
Effective 1 January 2025
These Terms govern your use of xdpigo.com (“Site”), operated by XUDONG PHILIPPINES INC.. By using the Site or submitting an RFQ, you agree to these Terms.
1. Use of the Site
You may browse the Site and submit RFQs for legitimate B2B procurement purposes. You may not scrape, mass-download, or attempt to reverse-engineer the Site, nor use it to send unsolicited commercial communications.
2. RFQ submissions
An RFQ submission is not a contract. We respond within 12 hours with a written quote. A binding contract is created only when both parties sign a purchase order or sales contract referencing specific drawings, quantities, prices and delivery terms.
3. Intellectual property
The Site content (text, design, photographs, logos) is © XUDONG except where marked. Customer drawings, BOMs and specifications remain the customer's property; XUDONG holds them under NDA and uses them solely to manufacture the contracted parts.
4. Standard sales terms (apply when no separate contract is signed)
- Payment: 30% deposit on PO, 70% on shipment unless 30/60-day open account is granted in writing.
- Currency: USD by default; CNY, EUR, JPY available on request.
- Incoterms: FOB Manila or CIF destination per Incoterms 2020.
- Warranty: 12 months from shipment for workmanship per IPC-A-620 Class 3 acceptance.
- Limitation of liability: XUDONG's liability for any non-conforming part is limited to the invoice value of that part. No consequential, incidental or indirect damages.
5. Force majeure
Neither party is liable for delays caused by typhoons, floods, government shutdowns, port strikes, pandemic-related lockdowns or other events outside reasonable control, provided we communicate the impact within 5 business days.
6. Governing law & dispute resolution
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law rules. Disputes are first attempted in good-faith negotiation, then by binding arbitration under the Philippine Dispute Resolution Center (PDRCI) rules in Makati City; the arbitral award is final and enforceable in both PH and CN courts.
7. Changes
We may update these Terms; the “Effective” date above shows the latest version.
